We help develop and test the project business model alongside your commercial, financial and technical teams, then translate it into the legal arrangements needed for financing.

We assess revenue, delivery and operating assumptions together, align the project contracts with financing requirements, and lead legal negotiations with banks and lenders’ advisers through financial close and drawdown.

How we help

1. Develop the commercial case

   Work with your teams on the business model, revenue assumptions, delivery strategy and financing timetable.

2. Align the project contracts

   Align land, grid, EPC, supply and O&M arrangements, PPAs, tolling agreements and other revenue contracts with the financing requirements.

3. Negotiate the financing

   Lead the legal response to lender diligence and negotiate facility agreements, security, direct agreements and related documentation.

4. Close and draw down

   Manage conditions precedent, corporate approvals, consents, security perfection and closing evidence against the agreed timetable.

After close, we advise on financing obligations, amendments, waivers, refinancing and restructuring. Mandates have involved commercial banks, institutional lending and Recovery and Resilience Facility (RRF) financing.
